Terms of Use

These Terms of Use (“Terms”) form a binding agreement between Autentic Ltd. (“Autentic”, “we”, “our”, or “us”) and any individual or entity (“User”, “you”) accessing or using our websites, platform, applications, products, or services (collectively, the “Services”), including but not limited to autentic.global, the Autentic Platform (Dashboard, Marketplace), and projects such as Autentic DAO: Mersin House Token #1.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Definitions

For purposes of these Terms:

  • “Platform” means the Autentic Platform, including Dashboard, Marketplace, and associated services.
  • “Token” means any blockchain-based digital asset issued or supported through Autentic projects, including Autentic DAO: Mersin House Token #1.
  • “DAO Governance” means decentralized decision-making processes allowing Token holders to vote or propose matters.
  • “SPV” means a special-purpose vehicle or affiliated entity established to manage tokenized projects.
  • “User” means any person or entity accessing or using the Services.
  • “Restricted Jurisdiction” means jurisdictions subject to comprehensive sanctions, including but not limited to the Russian Federation, Iran, North Korea, Syria, Cuba, Crimea, and any other comprehensively sanctioned jurisdiction.
  • “Sanctions” means trade, economic, or financial sanctions administered or enforced by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, the United Nations Security Council, or any other relevant authority.

2. Eligibility

  • You must be at least 18 years of age (or the age of majority in your jurisdiction).
  • You must have full legal capacity to enter into these Terms.
  • You must not be a citizen, resident, or entity incorporated in a Restricted Jurisdiction.
  • You must not be a person or entity subject to Sanctions.
  • By using the Services, you represent and warrant that you are acting on your own behalf and not as agent, intermediary, or nominee for another.

3. Nature of Services

  • Autentic provides technological infrastructure to facilitate acquisition, management, and governance of digital tokens.
  • Autentic is not an investment adviser, broker-dealer, exchange, custodian, credit institution, or fiduciary.
  • Tokens represent governance and economic participation rights only. They do not confer legal ownership of underlying physical assets.
  • Token distributions and participation rights are subject to separate contractual agreements.

4. Account Registration and Verification

  • Users may be required to complete KYC/KYB and AML checks.
  • Users must provide true, accurate, and complete information.
  • Autentic may suspend or terminate access if information is false or misleading.
  • Autentic may also suspend or deny access if a User fails AML/KYC checks or is flagged as sanctioned by screening tools (OFAC, EU, UK, UN, or equivalent).

5. User Responsibilities and Warranties

By using the Services, you expressly warrant that:

  • All funds used are from lawful sources and not connected to illegal activity.
  • You are not a sanctioned person or prohibited under applicable law.
  • You will comply with all applicable AML/CTF and sanctions regulations, and provide documentation if requested.
  • You will safeguard access credentials, wallets, and private keys.
  • You are fully responsible for your blockchain transactions and tax obligations.

6. Prohibited Uses

Users may not:

  • Engage in money laundering, terrorist financing, fraud, or sanctions evasion.
  • Upload malware, attempt unauthorized access, or disrupt the Platform.
  • Use the Services in violation of law or intellectual property rights.
  • Circumvent or tamper with smart contracts, governance systems, or Platform operations.
  • Use the Services while located in or on behalf of sanctioned persons, entities, or Restricted Jurisdictions.

7. Token Participation and DAO Governance

  • Each Token grants rights as defined in project-specific frameworks.
  • Voting Rights: one token equals one vote, unless otherwise stated.
  • Proposal Rights: subject to eligibility thresholds.
  • Income Participation: distributions may be made under binding contractual agreements.
  • Tokens are non-refundable, may lose all value, and are not guaranteed to have liquidity.
  • Governance participation may be suspended if a Token Holder is subject to Sanctions or fails AML/KYC checks.

8. Risks

By using the Services, you acknowledge that:

  • Blockchain transactions are irreversible and subject to network congestion.
  • Tokens may lose value entirely due to market, regulatory, or technical risks.
  • Smart contracts may contain vulnerabilities despite audits.
  • Gas fees, slippage, and reliance on third-party wallets (e.g., MetaMask, WalletConnect) are your responsibility.
  • Regulatory changes may impact availability or legality of the Services.
  • Participation may be limited or terminated due to AML/CTF or sanctions compliance requirements.

9. Fees

Applicable fees are published on the Platform and may be updated at any time.

9.1 Platform Compensation.

Autentic Ltd. (the “Platform”) is entitled to receive compensation for services rendered in connection with the sourcing, acquisition, tokenization, governance facilitation, property management, and ongoing administration of each sub-project.
(a) The amount, form, and structure of such compensation shall be determined by Autentic Ltd. in its sole discretion and may vary between sub-projects.
(b) Autentic Ltd. may introduce or amend such compensation at any time during the life cycle of a sub-project. Any amendment shall apply only prospectively and shall not affect transactions, token sales, or distributions executed prior to the effective date of such amendment.
(c) The DAO may, by valid Governance Proposal, establish additional compensation in favor of Autentic Ltd., but such decision is optional and does not restrict Autentic Ltd.’s right to determine its own compensation under this clause.
(d) All applicable commissions or fees will be transparently disclosed on the Platform prior to implementation.

10. Intellectual Property

All content, software, trademarks, and logos are the exclusive property of Autentic or its licensors. No license is granted unless explicitly provided under these Terms.

11. Disclaimers

  • Services are provided strictly “as is” and “as available.”
  • Autentic disclaims all warranties, express or implied, including merchantability, fitness for purpose, accuracy, or uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Autentic shall not be liable for indirect, incidental, special, punitive, or consequential damages.
  • Aggregate liability to any User shall not exceed the amount of fees paid by such User to Autentic in the preceding 12 months.
  • Autentic shall not be liable for damages arising from your breach of AML/KYC or sanctions obligations.

13. Indemnification

Users agree to indemnify and hold harmless Autentic, affiliates, officers, employees, and service providers from claims or damages arising out of:

  • Breach of these Terms,
  • Misuse of the Services,
  • Violation of applicable law,
  • Violation of AML, CTF, or sanctions obligations.

14. Third-Party Services Disclaimer

  • The Platform may integrate with third-party services, including wallets (MetaMask, WalletConnect), payment processors (Wert), and exchanges.
  • Autentic is not responsible for third-party actions, failures, or services.

15. Tax Responsibilities

  • Users are solely responsible for all applicable taxes arising from use of the Services or receipt of Token distributions.
  • Autentic does not provide tax advice.

16. No Fiduciary Duties

Autentic does not owe Users any fiduciary duties. Obligations are limited to those set out in these Terms.

17. Force Majeure

Autentic shall not be liable for delays, failures, or interruptions due to events beyond its control, including natural disasters, regulatory actions, cyberattacks, or internet outages.

18. Suspension and Termination

Autentic may suspend or terminate User access in cases of:

  • Breach of these Terms,
  • Legal or regulatory requirements,
  • Fraud, suspicious activity, or security threats,
  • Failure to comply with AML/KYC checks, or if found to be subject to Sanctions.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved by binding arbitration under the London Court of International Arbitration (LCIA), seated in London, UK, with proceedings conducted in English. Arbitration shall be final and binding.

20. Amendments

Autentic may amend these Terms at any time. Updated versions will be published on www.autentic.global with a new effective date. Continued use constitutes acceptance.
